- Core Legal & Fiduciary Duties
- Stay informed, prepare for meetings, review materials, and make decisions with appropriate diligence.
- Put the organization’s interests above personal or professional interests; avoid conflicts of interest.
- Ensure the organization follows its mission, bylaws, policies, and all applicable laws and regulations.
- Governance & Oversight
- Mission & Strategy: Approve and periodically review the mission, vision, and strategic direction of the organization.
- Financial Oversight: Oversee financial health, including reviewing budgets and financial statements, and ensuring responsible stewardship of resources.
- Legal Compliance: Ensure compliance with IRS requirements for 501(c)(3) educational organizations and other applicable laws.
- Policy Development: Participate in developing and reviewing governance, ethics, conflict of interest, and risk management policies.
- Executive Oversight: Evaluate the executive director (if applicable) and ensure leadership is aligned with mission and legal standards.
- Participation & Engagement
- Meeting Attendance: Attend board meetings regularly and actively contribute to discussions and decisions.
- Committee Service: Serve on committees or task groups as needed.
- Program Awareness: Stay informed about programs, services, and community impact to make grounded decisions.
- Ambassadorship: Act as an ambassador for the organization, representing its mission accurately and positively.
- Financial & Ethical Responsibilities
- Charitable Use of Resources: Ensure resources are used for charitable and educational purposes, not for private benefit.
- Budget Review: Review and approve annual budgets and major financial decisions.
- Fundraising Support: Support fundraising efforts in ways appropriate to the board member’s capacity.
- Confidentiality: Maintain confidentiality regarding sensitive organizational information.
- Ethical Conduct: Uphold ethical standards and model integrity in all organizational interactions.
- Mission Alignment & Public Benefit
- Educational Purpose: Ensure programs genuinely serve an educational purpose consistent with IRS 501(c)(3) requirements.
- Program Effectiveness: Monitor program effectiveness and ensure activities advance the mission.
- Public Benefit: Safeguard the organization’s public-benefit character, prioritizing community impact over internal convenience.
- Board Culture & Collaboration
- Respectful Dialogue: Engage in constructive, respectful dialogue even when perspectives differ.
